These terms & conditions apply to and govern all sales of products by WBH Industries Ltd. T/A Safeguard Security a company incorporated in England and Wales under number 03132001, whose registered office is at Unit 5, 229 Torrington Avenue, Coventry, CV4 9HN
All orders are accepted by Safeguard Security under these terms unless agreed otherwise by email and this will constitute the contract of the entire agreement between the parties and supersede any prior agreement. You shall not be entitled to rely on any statement, promise or representation made or given by or on our behalf which is not set out in the Contract.
Quotations will be sent via email and do not constitute an offer and shall lapse on expiry after a 2-week period unless another time frame has been agreed. We reserve the right to withdraw or revise a quotation at any time before accepting an order.
Our acceptance of any order shall be effective and become a contract when either our Order Confirmation, on-line Order Form or any payment is made by you or any other oral or written order or confirmation is received.
We shall not be liable for any misrepresentation made by us to you as to the condition of the goods, their fitness for purpose, their physical characteristics, properties, or tolerances or as to quantity, dimensions, measurements, weights, or any other specification unless your representation is made or confirmed to us in writing and is proved fraudulent.
Without prejudice while we take every precaution in the preparation of our website, this data is for your general guidance only and statements made, and illustrations contained therein (in the absence of fraud on our part) shall not form part of the contract nor constitute representations by us and we shall not be bound by them.
For our supply only product range you shall be responsible to us for ensuring the accuracy and completeness of any order confirmation including quantities, measurements, data, and grille specification provided by you and given to us. All this information is necessary for goods or services to meet with the agreed terms & conditions between both parties to give sufficient time to enable us to perform the contract in accordance with its terms.
If an order is changed, extended, delayed, or cancelled you are liable for any of our losses, damages, costs, and expenses that we incur because of the extension, delay, or cancellation. This can include the cost of any material, the cost of labour and any other overheads.
We reserve the right at any time to correct any clerical, typographical or other similar errors in any tender, invoice, quotation, order acknowledgement or statement or other document issued by us from time to time. All these terms shall apply to the supply of both goods and services.
Our quotations and prices are based on costs prevailing at the time when they are given or agreed and are subject to VAT at the current rate.
Supply only prices will be inclusive of our standard Monday to Friday delivery rate. Deliveries on a Saturday or our Express Delivery Service will incur additional cost.
Supply only is subject to a minimum order of £195 incl VAT.
Where the goods are to be installed by Safeguard Security a 50% deposit payment is required at the time of processing the order, prior to manufacture. The balance payment of the remaining 50% would be payable on the day unless we have agreed in writing to grant you any credit or payment terms.
Any goods for supply only, payment in full is required prior to manufacture and dispatch.
Time for payment shall be of the essence of the contract and we reserve the right to suspend the provision of the goods or the services if any amounts are overdue under the contract until all such amounts have been paid and received by us by way of confirmed paid invoice or cleared funds in our bank.
If you fail to pay any amount due to us under any contract on the due date for services we provide, we may sue you for the entire amount due under such contract and/or add interest to the contractual amount.
All cancellations must be emailed outlining your cancellation reasons and following terms apply to your payment and how we deal with it:
Once the order is confirmed by both parties you are entered into a contractual binding agreement with Safeguard Security, and we have the right to recover any outstanding payments for goods and services. This includes, at the time of cancellation any admin, material, labour, transport, or any other costs incurred for the contractual agreement.
If the installation work is carried out by Safeguard Security both parties will agree on an installation date at the time of placing their order with payment terms agreed for the said services.
If your goods are supply only, the delivery of the goods will be to an address in the UK (please contact us re non-UK destinations). This service is provided by a third-party courier company and will be by Next Day Delivery Service (any time between 8am – 6pm). Timescale from placing your order is normally 5-7 working days after payment is received. We will deliver the goods to the address which shall be the location set out in your online order, order confirmation or other contract or any other location as agreed in writing. We do not accept responsibility for delivery to an address not laid out in any of the above
Delivery dates are estimates only. Time for delivery of the goods shall not be of the essence and if we indicate an anticipated delivery or performance date before an order is placed it is based on the workload and availability of materials, labour, and equipment at that time. This can change by the time an order is placed.
You will be informed by us the day prior to delivery that your goods will be arriving, and you need to make suitable arrangements to accept the goods.
If you fail to take or make suitable arrangements to accept delivery of the goods or we are unable to deliver because of inadequate access or instructions and we incur additional costs from our carriers, these would be payable by you before the goods are dispatched again.
We will always endeavour to despatch within the time scale specified when express delivery is requested. The 48-hour time frame only applies during the working week (Monday- Friday).
Orders placed on Friday or during the weekend will be dispatched on the following Tuesday or Wednesday. Orders placed on Thursday, that require delivery on Saturday, will be subject to the additional surcharge or they will be delivered on Monday or Tuesday of the following week.
Orders placed either during or before Bank Holidays and the Christmas shutdown could be subject to delays. Please call us on 024 7647 0600 to discuss before placing your order.
There may be occasions when the volume of work in the factory, when the order is placed, does not allow us to do this. On those occasions, we will inform the customer as soon as is reasonably possible and refund any monies and/or Express premium paid and/or agree a mutually acceptable alternative delivery date.
There may also be occasions when our carrier fails to deliver on time. When it is the fault of the carrier, we will refund any premium paid.
You shall inspect the goods from the courier at the time of delivery for damage. Our liability for loss or damage in transit will only be accepted in writing with any supporting photographic evidence. In the case of the goods being damaged in transit we are liable to repair or replace the goods damaged.
We are not liable for any supply only goods delivered by us or our carrier that are damaged and not reported to us in writing (with photographic evidence where applicable) within a 48-hour period from receiving the goods and/or prior to starting installation.
Warranty for goods and services supplied by us will be laid out in your contract with us. Goods for supply only have no warranty apart from any damage occurred during transit.
Any installation services provided by us where you have discovered a defect or failure within the warranty period, we must be given reasonable opportunity to inspect the goods or to review the services before we are held liable or make reparation.
If the defect arises from your or a third party’s negligence, misuse, alteration or repair of the goods or the services, we are not liable.
The goods for supply only come with complete step by step instructions and all fixings to install the product. Tools are not provided, you only need a few DIY hand tools and a cordless drill to complete the installation.
If specified in the contract that we are to install the grilles, then we will do so as soon as reasonably possible on a date to be agreed. We will ensure that our employees who install the goods comply with all reasonable health and safety, security, and other regulations either set by the company, working regulations or government regulations.
The complaint needs to outline all issues or concerns you may have with any supporting photographic evidence. This will be discussed by our management team and our findings will be sent by return in written communication by your preferred option of email or letter.
